1. Definitions (a) Customer. "Customer" means an authorized user of the Training Services provided by The Compliance Resource Group through its contractual relationship with Visify, LLC, an Alabama Limited Liability Company, pursuant to the required obligations set forth below. (b) Documentation. "Documentation" means user guides, operating manuals, and specifications, whether in print or machine-readable media, provided by The Compliance Resource Group to Customer. Documentation may be updated and provided to Customer as Visify modifies the Training Services. (c) Training Services. "Training Services" means the software application training program offered by The Compliance Resource Group on a hosted (software as a service) basis that provides tools for supervisory training for employers concerning identification of drug abuse, protocols for reasonable suspicion testing and related content, any associated database structures and queries, interfaces, and similar tools as initially provided by The Compliance Resource Group to Customer, together with any and all revisions, modifications, and updates thereof as may be provided by Visify, in its sole discretion. 2. Customer agrees and warrants that Customer shall not, and shall not permit any third party under Customer’s control to: (a) copy the Training Services; (b) modify, translate or otherwise create derivative works of the Training Services; (c) disassemble, decompile, reverse engineer, bypass, or decrypt the object code or source code of the Training Services or attempt any such action; (d) sell, assign, sublicense, publish, license, encumber, distribute, disseminate, rent and/or lease any portion of, or allow any other party access to or use of the Training Services or otherwise make the Training Services available to any third party; or (e) export or re-export the Training Services in violation of any United Sates export law or regulation. 3. Customer shall be solely responsible for providing, furnishing and maintaining compatible devices or any other equipment or technology required to operate the Training Services and shall be solely responsible for taking all steps and obtaining and furnishing to Customer’s employees or representatives all equipment necessary for attaining, maintaining and ensuring any and all connections to the Internet to facilitate use of the Training Services, including the payment of any fees or expenses relating thereto. The Compliance Resource Group shall have no responsibility to ensure Customer acquires and maintains Internet connectivity with respect to this Agreement. 4. Customer shall be solely responsible for ensuring the confidentiality and security of any password associated with the Training Services, and shall bear all liability or loss resulting from unauthorized use of any Training Services password. 5. Customer shall be solely responsible for complying with any and all local, state and federal laws, rules, and regulations in its use of the Training Services, and the terms or conditions under which it provides access to the Training Services. 6. IN NO EVENT WILL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT, OR INCIDENTAL DAMAGES, OR FOR ANY LOST PROFITS OR LOST REVENUE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS. DIRECT DAMAGES SHALL BE LIMITED TO THE TOTAL AMOUNT [i.e., LICENSE FEE, ROYALTY FEES, SUPPORT FEE AND TRAINING COSTS] PAID BY CUSTOMER UNDER THIS AGREEMENT IN THE LAST TWELVE (12) MONTHS. THE LIMITATIONS AND EXCLUSIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL NOT APPLY TO, LIMIT OR EXCLUDE: EITHER PARTY’S INDEMNIFICATION OR CONFIDENTIALITY OBLIGATIONS OR DAMAGES CAUSED BY EITHER PARTY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. 7. The Compliance Resource Group HEREBY DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO THE TRAINING SERVICES, WHETHER EXPRESS OR IMPLIED, THAT MAY ARISE EITHER BY AGREEMENT BETWEEN THE PARTIES OR BY OPERATION OF LAW, INCLUDING THE WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 8. Customer agrees to abide by all other terms and conditions established by The Compliance Resource Group, including but not limited to, pricing, payment, and utilization of services. Failure to adhere to these terms may subject Customer to suspension and/or cancelation of services. 9. All Training Services, documentation and related materials are the sole property of Visify, LLC

Q: Do my employees get a certificate after completing this course?

A: Yes. A personalized certificate is automatically made available to each user after successful completion of the course.

Q: Will I be able to track my employees’ progress through the training system?

A: Yes. As a “teacher” in the system, you will receive instructions via email on how to view grades in the system and pull certificates for your “students” (your employees who take the course).

Q: If my employees can’t get through the entire course in one sitting, can they take the course in stages?

A: Yes. All courses offer users the chance to resume where they left off each time they log in.

Q: Once the course is completed, will my employees be able to access this content in the future?

A: Access is limited to 90-days. Users can access the course(s) as many times as needed during the 90-day period.
